Bitcoin Well Canada is a Canadian Money Services Business that provides services including the online purchase and sale of bitcoin, Bitcoin Well ATM transactions, and access to educational and self custody related tools. All bitcoin transactions are delivered directly to a self custody wallet that you control. The Company does not provide custodial services.

By accessing or using any service provided by Bitcoin Well Canada, including purchases made online or through Bitcoin Well ATMs, you acknowledge and agree that you are bound by these Terms. If you do not agree to these Terms, you must not use our services.

The Company does not provide financial, investment, tax, accounting, or legal advice. Any information provided is for educational purposes only and should not be interpreted as a recommendation.

These Terms incorporate the Company's Privacy Policy and any service specific disclosures. Your continued use of our services constitutes acceptance of these Terms and any future updates.

2. Regulatory Disclosure

3.5 Eligible Use of Services

You agree that you will use the services only for your own lawful personal or business purposes. You may not create an account or conduct transactions on behalf of another individual unless expressly permitted under a separate written agreement with Bitcoin Well Canada.

You agree not to use the services for any unlawful purpose, including fraud, scams, money laundering, terrorist financing, market manipulation, or activities that violate Canadian sanctions laws.

3.6 Self Custody Requirement

Bitcoin Well Canada delivers bitcoin only to a self custody wallet that you own and control. You are solely responsible for securing your wallet, private keys, seed phrases, and any recovery materials.

The Company does not provide custody services and cannot recover lost private keys or access compromised wallets.

3.7 ATM Specific Representations

When using a Bitcoin Well ATM, you confirm that:

4. Account Setup, Verification, and Consent to Electronic Communications

Bitcoin Well Canada is required under the PCMLTFA to verify the identity of individuals and businesses that use its services. You agree to provide any information or documentation requested to satisfy our compliance obligations. Verification may include:

Delivery of SMS messages is not guaranteed and may depend on your mobile carrier.

4.4 Account Security Responsibilities

You are solely responsible for safeguarding your account credentials and for maintaining the security of any device used to access the services. You agree to notify the Company immediately if you suspect unauthorized access to your account.

The Company is not responsible for losses resulting from compromised credentials, malware, unauthorized access to your devices, or misuse of your account by third parties.

5. Services Provided by Bitcoin Well Canada Ltd.

Bitcoin Well Canada Ltd. provides services that allow eligible users to buy and sell bitcoin, access education related to self custody, and complete transactions through Bitcoin Well ATMs. All bitcoin is delivered directly to a self custody wallet that you control. The Company does not hold customer bitcoin or provide custodial services.

Availability of services may vary based on your province or territory, identity verification status, payment method, transaction size, or compliance considerations.

5.1 Bitcoin Purchase Services

The Company may allow you to purchase bitcoin through supported payment methods. Purchases are delivered directly to a self custody wallet that you specify. The Company is not responsible for the security or functionality of your wallet or any third-party wallet software.

The Company may request additional information or impose transaction limits based on risk, compliance requirements, or payment method restrictions.

5.2 Bitcoin Sale and Conversion Services

The Company may allow you to sell bitcoin in exchange for Canadian dollars. Settlement may be made by bank transfer, payment service provider, or other supported methods. The Company may require confirmation of wallet ownership or additional verification before processing a sale.

Transactions may be delayed or refused if they appear inconsistent with law, regulatory expectations, or Company policy.

5.3 Recurring Purchase Services

The Company may offer recurring purchase features that allow you to schedule automatic bitcoin purchases at intervals you select. You are responsible for ensuring the accuracy of payment information and for maintaining sufficient funds to complete scheduled purchases.

Recurring purchases remain in effect until you cancel them through your account or customer support. The Company may pause or cancel recurring purchases to satisfy compliance obligations or for risk related reasons.

5.4 Self Custody and Wallet Education Services

The Company may provide resources, tools, or educational materials intended to help you understand bitcoin, self custody, and related security practices. These materials are informational and are not financial, investment, tax, or legal advice.

You are solely responsible for selecting, configuring, and maintaining your own digital wallet and for safeguarding private keys and recovery phrases.

5.5 Business Accounts and Services

Eligible businesses, trusts, and organizations may access business specific services. Additional documentation is required, including:

5.6 Bitcoin Well ATM Services

Bitcoin Well Canada operates Bitcoin Well ATMs across Canada. ATM transactions allow users to purchase bitcoin with cash and receive it directly to a self custody wallet. ATM specific terms include:

The Company may support Lightning Network payments or other bitcoin related features. Lightning transactions are final and irreversible. Transaction times, fees, and reliability may vary based on network conditions.

5.8 Service Availability

Access to services may be limited or unavailable due to maintenance, disruptions, regulatory requirements, or other operational reasons. The Company does not guarantee continuous or uninterrupted access to any service.

The Company may modify, suspend, or discontinue any service at any time. Material changes will be communicated through the Company's website, email, or other electronic methods.

6. Fees, Pricing, and Payment Terms

Bitcoin Well Canada Ltd. provides bitcoin-related services for a fee. All fees, prices, exchange rates, and payment terms applicable to your use of the services are described in this section or in service specific disclosures made available to you prior to completing a transaction.

6.1 Pricing and Exchange Rates

The price you pay or receive for bitcoin is determined at the time your transaction is executed. Prices are based on market conditions and may include a spread or markup. Exchange rates may differ from those available on other platforms or public markets.

You acknowledge that bitcoin markets are volatile and that prices may change significantly between the time you initiate a transaction and when it is completed. The Company is not responsible for price changes that occur during processing or verification.

6.2 Service Fees

Bitcoin Well Canada Ltd. charges fees for certain services, which may include transaction fees, network fees, or service specific charges. These fees will be disclosed at the time you authorize a transaction or in the applicable service detail pages.

You agree to pay all applicable fees at the time they are assessed. Fees are non-refundable unless required by law.

6.3 Payment Methods

Supported payment methods vary based on your location, verification status, and transaction size. Payment methods may include bank transfers, electronic payment rails, and cash for ATM purchases.

You authorize Bitcoin Well Canada and its service providers to initiate debits, credits, and corrections necessary to complete your transactions.

6.4 Authorization and Holds

You authorize the Company to place temporary holds on funds or transactions when necessary to verify information, prevent fraud, satisfy compliance obligations, or manage risk. The Company may delay or cancel transactions if required to comply with law or policy.

You agree not to attempt to reverse or charge back a payment without first contacting the Company. Unauthorized reversals may result in account restrictions or collection actions.

6.5 Reversals and Chargebacks

If a payment you authorize is returned, rejected, reversed, or charged back for any reason, you remain responsible for the full amount of the transaction and any associated fees.

Bitcoin transactions are final once delivered to your wallet. If a payment is reversed or charged back after bitcoin has been delivered, you remain responsible for repaying the full amount owed to the Company.

A reversal or chargeback after delivery of bitcoin will result in permanent closure of your access to the services. Accounts with unpaid balances may be referred to collection or legal action as permitted by law.

6.6 No Refunds on Completed Bitcoin Transactions

All bitcoin transactions are final once broadcast to the blockchain or delivered to your wallet. Bitcoin transfers cannot be reversed, refunded, or recovered by the Company.

It is your responsibility to verify the accuracy of all transaction details, including wallet addresses, before completing a transaction.

6.7 Taxes

You are solely responsible for determining and fulfilling any tax obligations related to your use of the services. Bitcoin Well Canada Ltd. does not provide tax advice and does not report tax obligations on your behalf except as required by law.

7. Risk Disclosures and No Financial Advice

Bitcoin involves significant risk. By using the services, you acknowledge that you understand and accept all risks associated with acquiring, holding, transferring, or selling bitcoin.

7.1 Market Risk

Bitcoin prices can change rapidly and unpredictably. The value of bitcoin may increase or decrease at any time and may become volatile due to market conditions, regulatory developments, technological changes, or other external factors. You may lose some or all of the value of any bitcoin you purchase. The Company is not responsible for losses resulting from market fluctuations.

7.2 Transaction and Technological Risk

Bitcoin transactions are irreversible. Once a transaction is broadcast to the blockchain or delivered to your wallet, it cannot be canceled or recovered. You are responsible for verifying the accuracy of wallet addresses and transaction details before confirming any purchase or sale.

Bitcoin and related technologies may experience delays, congestion, forks, network instability, security vulnerabilities, or operational disruptions. The Company cannot control the bitcoin network and is not responsible for network failures or delays.

7.3 Self-Custody and Security Risk

Bitcoin Well Canada Ltd. does not provide custody services and does not hold or manage bitcoin on your behalf. All bitcoin purchased through the services is delivered directly to a wallet that you control. You are solely responsible for safeguarding your wallet, private keys, recovery phrases, devices, and any tools used to access or manage your bitcoin.

Loss or compromise of your private keys will result in permanent loss of access to your bitcoin. The Company cannot retrieve lost keys or provide access to a compromised wallet.

7.4 Regulatory Risk

Bitcoin is subject to evolving regulatory frameworks at the federal and provincial levels. Regulations may change at any time and may affect the availability, legality, or terms of using our services. The Company may modify, suspend, or discontinue services to comply with applicable law.

7.5 No Financial or Investment Advice

Bitcoin Well Canada Ltd. does not provide financial, investment, legal, accounting, tax, or other professional advice. Any information provided through the services, including educational materials or customer support communications, is for informational purposes only.

You are responsible for evaluating your financial situation, risk tolerance, and investment objectives. You should consult a qualified professional before making financial or tax-related decisions.

7.6 No Fiduciary Relationship

Your relationship with Bitcoin Well Canada Ltd. is solely that of a service provider and customer. The Company does not act as your agent, advisor, fiduciary, or custodian. You alone are responsible for decisions related to bitcoin purchases, sales, custody, and use.

8. Prohibited Uses

You may use Bitcoin Well Canada Ltd.'s services only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited. Attempting, facilitating, or assisting others to engage in these activities is also prohibited.

The Company may also delay or block transactions during compliance reviews or risk assessments.

The Company may place a temporary hold on transactions, account activity, or access to certain features while it investigates or reviews information relevant to compliance or risk management. Holds may be applied for reasons that include:

The Company is not liable for losses resulting from account suspension, termination, or compliance holds, including delays, inability to access funds, or market movements. These actions may be necessary to satisfy regulatory requirements or to protect the integrity of the services.

10. Intellectual Property and Use of the Services

All content, materials, and technology made available through the services are owned by Bitcoin Well Canada Ltd. or licensed to the Company. You receive a limited right to use the services for lawful personal or business purposes, subject to these Terms.

Your use of the services is subject to the Bitcoin Well Canada Ltd. Privacy Policy, which explains how personal information is collected, used, stored, shared, and protected. By using the services, you acknowledge and agree that Bitcoin Well Canada processes personal information in accordance with Canadian federal privacy laws and applicable provincial laws.

To the fullest extent permitted by law, the total liability of Bitcoin Well Canada Ltd. for any claim arising out of or relating to these Terms or your use of the services is limited to the total amount of fees paid by you to the Company during the twelve months preceding the event giving rise to the claim.

13.4 Allocation of Risk

These limitations reflect an agreed allocation of risk. The services would not be provided without these limitations. The limitations and disclaimers contained in this section apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

13.5 Exceptions Where Not Permitted

Some jurisdictions do not allow certain limitations of liability. If any limitation in this section is found unenforceable, the remaining limitations will remain in effect to the fullest extent permitted by law.

14. Dispute Resolution

This section explains how disputes between you and Bitcoin Well Canada Ltd. will be addressed. The Company uses a tiered approach that supports informal resolution first while preserving your right to bring a claim before the courts. Mandatory arbitration is not imposed on Canadian consumers.

You must provide a description of the issue and any relevant details. Both parties agree to make reasonable efforts to resolve disputes through good faith discussions before taking any formal steps.

If a dispute cannot be resolved informally, the parties may agree to attempt mediation or arbitration. Participation in mediation or arbitration is voluntary and requires mutual written agreement after the dispute arises. Either party may decline mediation or arbitration and choose to proceed through the courts.

Where mediation or arbitration is mutually agreed upon, the process will be conducted by a qualified neutral service provider in Canada in accordance with applicable provincial legislation.

14.3 Court Proceedings

Unless both parties agree to arbitration after a dispute has arisen, disputes will be resolved by the courts of the province or territory where you reside or as otherwise permitted by law. You retain the right to bring a claim before a court at all times.

14.4 Quebec Consumers

For users located in Quebec, mediation or arbitration may only occur if you choose it after the dispute arises. Any clause requiring arbitration in advance is not binding under the Civil Code of Quebec and the Consumer Protection Act. Quebec users retain the unrestricted right to bring disputes before the courts of Quebec.

14.5 No Class Actions

To the extent permitted by law, you agree that disputes will be brought on an individual basis. This section does not limit any consumer rights that cannot be waived under applicable provincial laws, including Quebec law.

15. Changes to the Services and Terms

Bitcoin Well Canada Ltd. may modify, update, or discontinue any part of the services at any time. This may include changes to features, functionality, supported payment methods, transaction limits, or service availability. The Company may also update these Terms when required to reflect changes in law, regulation, technology, or business operations.

15.1 Updates to the Terms

When the Company makes material changes to these Terms, the updated version will be posted on the Company's website with the effective date noted at the top. The Company may also provide notice by email or through other electronic methods.

You are responsible for reviewing the Terms regularly. Your continued use of the services after the effective date of an updated version constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the services.

The Company may modify, suspend, or discontinue any service at its discretion. This includes changes required to comply with legal obligations, manage risk, or update technology. The Company is not liable for any loss or inconvenience arising from changes or interruptions to the services.

For users outside Quebec, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada.

For users located in Quebec, these Terms are governed by the Civil Code of Quebec and any other applicable provincial legislation.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any service specific disclosures made available by Bitcoin Well Canada Ltd., form the entire agreement between you and the Company regarding your use of the services. These documents replace any prior agreements, understandings, or representations related to the services.

No employee, contractor, or representative of the Company is authorized to modify these Terms or make any additional promises unless the modification is provided in a written document signed by an authorized officer of the Company.

18. Miscellaneous

18.1 Assignment

You may not assign or transfer any rights or obligations under these Terms without the prior written consent of Bitcoin Well Canada Ltd. The Company may assign or transfer its rights or obligations in connection with a merger, acquisition, corporate restructuring, or sale of assets, or to an affiliate or service provider, provided that such assignment does not reduce your rights under these Terms.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be interpreted in a manner that best reflects the original intent while remaining enforceable.

18.3 Force Majeure

Bitcoin Well Canada Ltd. is not responsible for any delay or failure to perform resulting from events outside its reasonable control. These events may include natural disasters, power outages, labor disputes, equipment failures, cyberattacks, acts of government, network disruptions, or other circumstances beyond the Company's control.

18.4 No Third-Party Beneficiaries

These Terms are for the exclusive benefit of you and Bitcoin Well Canada Ltd. No third party has any rights under these Terms.

Notices from the Company may be delivered electronically, including by email, through your account, or through postings on the Company's website. You are responsible for maintaining accurate contact information and for regularly reviewing communications related to your account.
